(Carrier).
WHEREAS, Dispatcher is a transportation dispatching service handling the necessary paperwork between SHIPPERS and the CARRIER in order to secure “LOADS/CARGO/SHIPMENTS” for said carrier.
WHEREAS, Carrier is a Motor Contract Carrier subject to the jurisdiction of ICC: NOW, THEREFORE, in consideration of the promises and convents, hereinafter contained it is mutually agreed by and between parties that here to as follows:
DOCUMENTS
Carrier must present HighRoads Logistics, Inc. with the following documents prior to the implementation of this agreement:
Copy of Client’s Authority (MC Authority Letter) - upload in Carrier Profile form
Certificate of Insurance- upload in Carrier Profile form
Copy of Owner Operator and any additional drivers Driver Licenses’
Limited Power of Attorney form - MUST BE NOTORIZED
Carrier Profile
Signed W-9 - upload in Carrier Profile form
RELATIONSHIP
The relationship of CARRIER to DISPATCH shall, at all times, be that of an independent contractor. DISPATCH agrees to solicit and offer freight transportation shipments for CARRIER from and to such locations between service may be required subject to the availability of suitable equipment. DISPATCH shall be the agent for the CARRIER for the sole purpose of searching for and booking loads, processing all brokerage paperwork and obtaining and/or submitting all necessary documents required to the broker and/or shipper, including advances, and any load problems.
OBLIGATIONS OF DISPATCHER:
Dispatcher agrees to handle paperwork, phone calls, facsimile to, and from the brokers or shippers to tender commodities shipments to carrier for transportation in interstate commerce by carrier between points and places within the operating authority of the carrier.
Dispatcher bears no financial or legal responsibility in the transaction between the Shipper/Broker and Carrier agreement.
Billing Invoice and Collections of Revenue from customers, brokers, shippers, consignees, etc., are the sole responsibility of the Carrier. If revenue for a shipment is uncollectible HighRoads Logistics, Inc will be held harmless and no penalty or deductions of fees will be made.
Dispatcher will be held harmless in the event of any and all insurance or other claims.
Dispatcher will make 100% effort to keep the truck or trucks loaded and moving.
Dispatcher will contact carrier about every load we find to offer. Carrier will accept or decline the load in response, in a timely manner.
OBLIGATIONS OF THE CARRIER
Carrier agrees to pay a fee per load in the amount of 10% of the face value of the contract between the Shipper and Carrier as stated on the load confirmation sheet. Carrier further agrees to pay Dispatcher at time of securing cargo. DUE NO LATER THAN FRIDAY AT 10:00 AM. Preferred payment method will be bank transfer.
Carrier grants Dispatcher authority to provide his/her signature for rate confirmation sheets and associated paperwork necessary for securing cargo for Carrier.
Carrier has the obligation of Rejecting or Accepting loads/shipments/cargo offered by the Dispatcher, in case of accepting said loads/shipments/cargo the carrier will pay for services rendered even if the carrier from its own fault (except natural disasters, truck/trailer breakdown with proof) cannot pick up shipment/cargo/load.
Carrier agrees to make before mentioned documents available for dispatching purposes.
Carrier cannot try to offer any of the dispatchers that work for HighRoads Logistics, Inc money, or rewards to dispatch for their company for a lessor rate. Carriers agree to a non-compete agreement or a $2,000 file will apply and/or court action and all attorneys and legal fees will be the carrier’s responsibility.
TERM
The term of this AGREEMENT shall be effective as of the date hereof, and shall continue thereafter indefinitely, subject to the right of either party hereto to cancel the AGREEMENT at any time upon written notice no less than seven (7) days in advance of by either party to another.
ALL BILLING, INVOICING, AND COLLECTIONS OF REVENUE FROM SHIPPERS, BROKERS AND/OR FACTORING COMPANIES ARE THE SOLE RESPONSIBILITY OF THE CARRIER/TRUCKING COMPANY, UNLESS HighRoads Logistics, Inc AND CARRIER/TRUCKING COMPANY HAVE ARRANGED AND AGREED UPON ADDITIONAL SERVICES PROVIDED TO THE CARRIER/TRUCKING COMPANY BY HighRoads Logistics, Inc.
If revenue for a shipment or shipments is uncollectible, HighRoads Logistics, Inc will be held harmless, and no penalty or deduction of fees will be made.
HighRoads Logistic, Inc will be held harmless in the event of any and all claims, and the carrier/owner operator will still be obligated to pay for services rendered.
Note: This fee for Dispatch Services includes Dispatcher contracting Dedicated Freight (lanes) for the Carrier
As Loads/Freight/Cargo are picked up, delivered, and Carrier/Trucking Company is paid FIRST, an amount equal to the above stated percentage will be payable to: HighRoads Logistics, Inc
By signing this Dispatcher Agreement below, I fully understand the terms of this agreement.
